EMS Logik Software Subscription Agreement

PLEASE READ THIS AGREEMENT CAREFULLY.
BY CREATING AN ACCOUNT, OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
If you do not agree, do not use the Services.
1 - PARTIES
This Software Subscription Agreement (“Agreement”) is between Med-Packs, LLC dba EMS Logik, NarcBox, Station Stok (“Company,” “we,” “us,” or “our”) and the entity or individual accessing or using the Services (“Customer,” “you,” or “your”).
2 - DEFINITIONS
“Authorized Users” means employees, contractors, or agents authorized by Customer to access the Services.
“Customer Data” means data, records, and information uploaded to or generated within the Services by Customer.
“Services” means Company’s hosted SaaS platforms, including StationStok, NarcTrak (NarcBox), APIs, integrations, analytics tools, artificial intelligence tools, and related services.
“Subscription Term” means the period during which Customer is authorized to access the Services.
3 - LICENSE GRANT
Subject to payment of applicable fees and compliance with this Agreement, Company grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during the Subscription Term solely for Customer’s internal business operations.
Customer shall not:
- Reverse engineer or attempt to derive source code
- Copy, resell, sublicense, or distribute the Services
- Use the Services to build a competing product
- Permit unauthorized third-party access
- Remove proprietary notices
All rights not expressly granted are reserved by Company.
4 - SUBSCRIPTION; FEES; AUTO-RENEWAL
Subscriptions are billed annually unless otherwise agreed in writing.
Unless otherwise stated in a signed agreement:
- Subscriptions automatically renew for successive one (1) year terms.
- Customer must provide written notice of non-renewal at least thirty (30) days prior to expiration.
- Fees are non-refundable except as required by law.
Customer agrees to notify Company in writing of any billing dispute within thirty (30) days of the invoice date.
Company may suspend access for non-payment.
5 - CUSTOMER RESPONSIBILITIES
Customer is responsible for:
- Maintaining credential security
- Ensuring compliance with applicable laws and regulations
- Ensuring the accuracy of Customer Data
- Compliance with DEA, EMS, pharmacy, procurement, and other regulatory requirements
The Services are management tools and do not replace compliance obligations.
6 - DATA OWNERSHIP AND USE
Customer retains ownership of Customer Data.
Company may access and process Customer Data solely to:
- Provide and support the Services
- Maintain system security
- Improve service functionality
AI and Analytics
Company may use aggregated, anonymized, or de-identified data derived from Customer Data to:
- Improve the Services
- Develop analytics
- Train artificial intelligence models
Such data will not identify Customer or any individual.
Company does not sell or commercialize identifiable Customer Data.
Intellectual property developed from aggregated, anonymized data shall be owned by Company.
Rights in aggregated, anonymized data survive termination.
7 - DATA SECURITY
Company implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data.
No system is completely secure.
8 - DATA RETENTION AND TERMINATION
Upon termination:
- Customer access ceases.
- Customer may request export of Customer Data within thirty (30) days.
- Export will be provided in commercially reasonable formats such as CSV or JSON.
Identifiable Customer Data will be deleted within sixty (60) days after termination, except as required by law.
Company may retain aggregated, anonymized, or de-identified data.
9 - HIPAA
If Customer uploads Protected Health Information (PHI), a separate Business Associate Agreement (BAA) must be executed.
Absent a signed BAA, Customer shall not upload PHI.
10 - THIRD-PARTY INTEGRATIONS
Company does not guarantee uninterrupted third-party integrations and is not responsible for third-party service failures.
11 - AI DISCLAIMER
AI outputs are informational only and may be incomplete or inaccurate.
AI outputs do not constitute professional, legal, regulatory, medical, or procurement advice.
Customer is solely responsible for decisions made based on AI outputs.
12 - DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.
COMPANY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
13 - LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Company shall not be liable for indirect, incidental, punitive, or consequential damages.
Company’s total cumulative liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.
14 - INDEMNIFICATION
Customer shall indemnify Company against third-party claims arising from:
- Customer misuse of the Services
- Customer regulatory violations
- Customer Data violations of law
15 - FORCE MAJEURE
Company is not liable for delays or failures beyond its reasonable control.
16 - DISPUTE RESOLUTION
To the extent permitted by law, disputes shall be resolved by binding arbitration under AAA rules in Salt Lake County, Utah.
If arbitration is not permitted under applicable law, disputes shall be resolved in a court of competent jurisdiction located in Salt Lake County, Utah.
Each party agrees to resolve disputes individually and waives class action participation to the extent permitted by law.
17 - GOVERNING LAW
This Agreement shall be governed exclusively by the laws of the State of Utah.
18 - GOVERNMENT CUSTOMERS
Government or public entity customers may request a Government Entity Addendum that modifies certain provisions where required by law.
19 - PRIVACY POLICY
Customer acknowledges that use of the Services is also governed by the EMS Logik Privacy Policy, available at:
Privacy Policy.
20 - ENTIRE AGREEMENT
This Agreement constitutes the entire agreement regarding use of the Services.
If a separately executed Master Services Agreement exists, it controls in the event of conflict.
